The client agrees to provide all necessary information, materials, and cooperation required for the successful completion of the project.

Manikoth Infotech Pvt. Ltd. may use third-party services, tools, or resources for the project. The client agrees to comply with the terms and conditions of any third-party services involved.

2. Payment Terms

2.1.Payment Schedule:
The client agrees to adhere to the payment schedule outlined in the project proposal or agreement.

2.2.Late Payments:
Late payments may be subject to interest charges or suspension of services until payment is received.

2.3.Non-Refundable Payments:
Certain payments, as outlined in the Refund Policy, are non-refundable.

3. Project Timeline

3.1.Project Delays:
The client acknowledges that project timelines may be affected by factors beyond Manikoth Infotech Pvt. Ltd.’s control, including but not limited to changes in project scope, delays in client feedback, or unforeseen technical issues.

4. Intellectual Property

4.1.Ownership:
Upon full payment, the client will own the intellectual property rights to the final deliverables outlined in the project agreement. Manikoth Infotech Pvt. Ltd. retains the right to use the project for promotional purposes.

4.2.Third-Party Materials:
The client is responsible for ensuring the legality of all materials provided to Manikoth Infotech Pvt. Ltd., including but not limited to text, images, and software.

5. Confidentiality

5.1.Confidential Information:
Both parties agree to keep any confidential information received during the project confidential and not disclose it to third parties without written consent.

6. Termination

6.1.Termination by Client:
The client may terminate the project by providing written notice and compensating Manikoth Infotech Pvt. Ltd. for work completed up to the termination date.

6.2.Termination by Manikoth Infotech Pvt. Ltd.:
Manikoth Infotech Pvt. Ltd. may terminate the project if the client fails to fulfill their obligations, and any outstanding payments will become immediately due.

7. Limitation of Liability

7.1.Indirect Damages:
Manikoth Infotech Pvt. Ltd. is not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the services.

8. Governing Law

8.1.Jurisdiction:
These Terms and any disputes arising under them will be governed by the laws of Kerala, India, and both parties submit to the exclusive jurisdiction of the courts in Kozhikode, Kerala, India.

9. Changes to Terms and Conditions

Manikoth Infotech Pvt. Ltd. reserves the right to modify or update these Terms and Conditions at any time. Any changes will be effective immediately and will be communicated to you via email or through our website.
